Sterlite Technologies Ltd has informed BSE that, pursuant to the Special Resolution passed by the Shareholders of the Company at its Extra Ordinary General Meeting held on April 29, 2009, the Company had issued convertible warrants to Twin Star Overseas Ltd, Mauritius, a promoter group Company. Twin Star Overseas Ltd has exercised the conversion right with respect to the aforesaid warrants upon payment of balance 75% of the issue price. The Allotment Committee of the Board of Directors of the Company in its meeting held on March 29, 2010 has allotted 3,22,50,000 fully paid up equity shares of Rs. 2 each to Twin Star Overseas Ltd, Mauritius upon conversion of warrants by way of preferential allotment as per the following details – (a) 1,61,25,000 fully paid up equity shares of Rs. 2 each at a premium of Rs. 24 per share consequent to sub-division of equity shares from Rs. 5 each to Rs. 2 each. (b) 1,61,25,000 fully paid-up Bonus Equity Share of Rs.2/- in the ratio of one equity share of Rs. 2 each, for every one equity share of Rs. 2 each. The Paid Up Capital of the Company after this allotment has increased to Rs. 71,10,37,020/- divided into 35,55,18,510 Equity Shares of Rs. 2 each from Rs. 64,65,37,020/- divided into 32,32,68,510 Equity Shares of Rs. 2 each.

Circuit Systems India Ltd has informed BSE that the Meeting of the Board of Directors was scheduled to be held on March 29, 2010, for the allotment of Equity Shares on Preferential Basis to the Proposed Allottees as was approved at the Extra Ordinary G Meeting, has been adjourned on account of having been non-quorum. Steel Authority of India Ltd (SAIL) has informed BSE that the Company has, on March 29, 2010, signed a Joint Venture Agreement (JVA) with M/s. Shipping Corporation of India Limited (SCI) to promote a Joint Venture Company (JVC) primarily to provide various shipping related services to SAIL. The initial authorized and paid up share capital of the proposed JVC would be Rs 1 Crore, which will be increased from time to time. The paid up share capital will be held equally by both the promoters.

PTS is a high voltage electrical engineering company which provides consultancy, technical and engineering support to Regional Electricity Companies (RECs) including, but not limited to conceptual engineering/system studies and also complete EPC detailed engineering, spanning electrical (relay/control, SCADA and substation automation) and civil/structural (site foundation, development and structural design). The approximate Enterprise Value of this acquisition is £30 million. This acquisition will enable the Company to become a significant EPM player in the UK”.
